  • To communicate with you about projects, updates, and new services

  • We do NOT use your data for marketing to third parties or sell it to anyone

Terms of Service

TL;DR: We build automation systems for your business. You pay us, we deliver results. If something breaks, we fix it. Be honest about your needs, we'll be honest about what we can deliver.

1. Service Description

Perpetuo provides custom AI automation services including:

  • Audit & Strategy: Workflow analysis and automation roadmap
  • Build & Launch: Design, development, and deployment of automation systems
  • Partnership: Ongoing optimization, maintenance, and new automation builds

2. Your Responsibilities

You agree to:

  • Provide accurate information about your processes and requirements
  • Make decisions and approvals in a timely manner to avoid project delays
  • Provide access to systems, data, and team members as needed
  • Not use our services for illegal purposes or to violate third-party rights
  • Maintain confidentiality of systems and access credentials we provide

3. Intellectual Property

You own all code, systems, and documentation we build for you. We may use general learnings from your project to improve our methodology, but not your specific data or confidential information.

4. Confidentiality

Both parties agree to keep project details, pricing, and proprietary information confidential. Exceptions: required by law, to our legal team/advisors under NDA, or with written consent.

5. Limitation of Liability

  • Our total liability is limited to the amount you paid us in the last 12 months
  • We are not liable for indirect damages, lost revenue, or data loss due to your negligence
  • This doesn't exclude liability for data we're responsible for protecting

6. Service Level Agreement (Partnership Only)

For Partnership plans, we guarantee:

  • 99.5% Uptime: Your automation runs 99.5% of the time
  • Priority Support: Response within 4 business hours
  • Maintenance Window: Emergency fixes within 24 hours
  • Downtime refunds: 1% monthly credit for every 1% below guarantee

7. Payment Terms

  • Invoices are due within 30 days of issue
  • Late payments incur 1.5% monthly interest
  • We may suspend services for payments over 30 days late

8. Termination

For Projects (Audit/Build): Either party can terminate with 14 days written notice. You pay for work completed.

For Partnership: Either party can terminate with 30 days notice. Final invoice covers services through termination date.

9. Dispute Resolution

  • We first try to resolve disputes through good-faith discussion
  • If unresolved after 30 days, disputes go to mediation
  • If mediation fails, disputes are resolved through binding arbitration (not court)
  • Governed by the laws of India

10. Changes to Terms

We may update these terms. Significant changes will be communicated to you. Continued use of our services means acceptance of new terms.
